Terms & Conditions

Effective Date: 1 April 2025  ·  Obiter, Singapore

These terms govern the purchase and use of Obiter's IP documentation tools, template resources and administration consulting services. Please read them carefully before placing an order or beginning an engagement.

1. Scope of Services

These Terms & Conditions apply to all services offered by Obiter, including:

  • The IP Documentation Template Pack — a one-time purchase of internal documentation templates for use in IP administration workflows.
  • The IP Administration Setup Engagement — a four-week consulting engagement to establish internal IP administration processes.
  • The Annual IP Administration Programme — a twelve-month ongoing advisory and support programme for R&D-active organisations.

All services concern internal business operations and documentation tooling. Obiter does not provide legal advice, engage in the preparation or prosecution of patent or trade mark applications, or represent clients in any legal proceeding. Where substantive intellectual property filing matters arise, Obiter will recommend engagement with qualified practitioners.

2. Orders & Payment

Orders for the Template Pack are completed through the checkout process on our website. Engagement and programme services commence upon receipt of a signed engagement letter and cleared payment of any applicable deposit.

  • All prices are quoted in Singapore Dollars (SGD) and are inclusive of applicable taxes unless otherwise stated.
  • Payment for the Template Pack (SGD 189) is due in full at the time of purchase.
  • Payment for the Setup Engagement (SGD 555) is due fifty percent at engagement commencement and fifty percent upon delivery of the runbook.
  • The Annual Programme fee (SGD 1,135) is due annually in advance at the start of each programme year.
  • Invoices not settled within fourteen days of issue may result in suspension of service delivery until the outstanding balance is cleared.

3. Delivery

Template Pack files are delivered electronically within two business days of confirmed payment. Files are supplied in DOCX, ODT and spreadsheet formats as described in the product listing.

Engagement and programme services are delivered remotely via video call, written deliverables and shared document workspaces, unless the parties agree to alternative arrangements in writing. Delivery timelines for engagement outputs are set out in the relevant engagement letter.

4. Use of Templates

Templates are licensed for use within the purchasing organisation's own internal operations. Each licence covers a single legal entity. Use across multiple affiliated entities requires a separate licence or written agreement.

  • Templates may be adapted for internal use, including modification of placeholder text, terminology and structure to suit the organisation's processes.
  • Templates may not be resold, sublicensed, shared externally or published without Obiter's prior written consent.
  • Templates are operational tools for internal administration. They are not a substitute for independent professional advice on substantive intellectual property matters.

5. Engagement Services

Setup Engagement and Annual Programme services are advisory and operational in nature. Obiter's advisors work alongside the client's operations team to design and maintain internal IP administration workflows.

  • The client is responsible for providing timely access to relevant internal stakeholders, existing documentation and systems required to carry out the work.
  • Deliverables are scoped in the engagement letter. Changes to scope during an engagement may be accommodated at Obiter's discretion and may affect timelines and fees.
  • Obiter does not guarantee specific business outcomes from workflow improvements. Results depend on the client's own implementation and operational context.
  • Sessions are conducted during Singapore business hours unless otherwise agreed.

6. Intellectual Property

All template content, methodology frameworks and written materials produced by Obiter remain the intellectual property of Obiter, except where expressly transferred in writing.

  • The client retains ownership of all internal documents, registers and workflows produced using Obiter's templates and methodologies.
  • Where Obiter produces customised materials specifically for a client during an engagement, ownership of those materials is addressed in the engagement letter.
  • Obiter reserves the right to describe the general nature of engagements in its portfolio and marketing materials, without disclosing client-identifying details, unless the client has requested otherwise in writing.

7. Limitation of Liability

To the extent permitted by Singapore law, Obiter's total liability arising from or in connection with any service shall not exceed the fees paid by the client for that specific service in the twelve months preceding the relevant claim.

  • Obiter is not liable for indirect, consequential or special losses, including loss of profit, revenue, anticipated savings or business opportunity.
  • Obiter is not responsible for outcomes arising from the client's application of templates or workshop outputs within their organisation.
  • Nothing in these terms limits liability for fraud, wilful misconduct or any liability that cannot lawfully be excluded under Singapore law.

8. Confidentiality

During the course of an engagement, both parties may have access to confidential information belonging to the other. Each party agrees to:

  • Hold the other party's confidential information in confidence and not disclose it to third parties without prior written consent.
  • Use confidential information only for the purpose of performing or receiving the services under these terms.
  • Apply reasonable care to protect confidential information, at least equivalent to the care applied to their own confidential information.

Confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, or that must be disclosed by law.

9. Cancellation & Termination

  • Template Pack: Due to the digital nature of the product, orders are non-refundable once files have been delivered. If files cannot be delivered due to an error on Obiter's part, a full refund will be provided.
  • Setup Engagement: Either party may terminate the engagement with fourteen days' written notice. Fees for work completed to the date of termination are payable.
  • Annual Programme: Either party may give thirty days' written notice to terminate. Fees already paid are non-refundable. Fees not yet due are not payable after the termination date.
  • Obiter may suspend or terminate services immediately where a client acts in breach of these terms and does not remedy the breach within seven days of written notice.

10. Governing Law & Dispute Resolution

These terms are governed by and construed in accordance with the laws of Singapore. Any dispute arising from or in connection with these terms shall first be referred to mediation through the Singapore Mediation Centre before being submitted to the courts of Singapore.

11. Changes to These Terms

Obiter may update these Terms & Conditions from time to time. Material changes will be posted on this page with a revised effective date. Continued use of our services after the effective date of a change constitutes acceptance of the updated terms. Ongoing engagements are governed by the terms in force at the time the engagement letter was signed, unless both parties agree in writing to adopt updated terms.
